Terms of Service – XIT Matters

These Terms of Service (“Terms”) govern your access to and use of the website xitmatters.io, the XIT Matters platform, and all related services, tools, valuations, dashboards, and content (collectively, the “Services”) provided by XIT Matters LLC (“XIT Matters,” “we,” “us,” or “our”).

By accessing or using the Services, creating an account, uploading any financial data, or clicking “I Accept,” “Get My Free Valuation,” or similar buttons, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

We may update these Terms from time to time. The updated version will be posted here with a new effective date. Continued use after changes constitutes acceptance. We will notify material changes via email or in-app notice where possible.

Important Disclaimers

XIT Matters is a living valuation compass built by exited founders for business owners — not a formal appraisal, Quality of Earnings report, legal opinion, or substitute for professional advice.

All valuations, calculations, projections, and insights are illustrative, educational, and approximate (“80/20” answers). They are for your internal decision-making only.

Consult your CPA, attorney, financial advisor, or M&A professional for any formal valuation, tax, legal, financing, or transaction matter.

We do not guarantee accuracy, completeness, or suitability for any specific purpose. Never rely on XIT valuations for bank loans, IRS filings, court proceedings, buyer due diligence, securities offerings, or any regulated activity.

1. Definitions

Account Holder / You / Your: The individual or entity registering for and using the Services.
Client / Business: The company or companies whose financial data you enter or connect.
Services: The XIT platform, three valuation methods (Intrinsic/FCFF-FCFE, Market Comps/Relative, Derived EV/EBITDA), blended valuation, persona dashboards, scenario sliders, Cost of Capital (WACC) tool, forecasts, executive briefings, integrations (QuickBooks, Xero, PDF upload), and all related features.
User Data: Any financial statements, forecasts, inputs, or other information you provide or that is imported on your behalf.
XIT Blended Valuation: Our proprietary weighted blend of the three methods, adapted to your selected persona.

2. Eligibility & Account Registration

You must be at least 18 years old and have full legal authority to enter this agreement.

You must provide accurate, complete information and keep it current. You are solely responsible for the security of your login credentials. Notify us immediately at support@xitmatters.io of any suspected breach.

3. Description of Services & Beta Status

XIT Matters provides a real-time, persona-adaptive valuation platform that runs three institutional-grade methods on your financial data and presents a blended “living valuation” tailored to whether you are selling, buying, reinvesting, raising capital, evaluating as an investor, or tracking net worth.

The Services are currently in public beta and provided FREE of charge with no credit card required. All features are available during beta. Early users will receive grandfathered pricing when paid plans launch.

We may modify, suspend, or discontinue any feature at any time.

4. User Data & Financial Information

You grant us a limited, worldwide, royalty-free license to use, store, process, and display your User Data solely to provide and improve the Services. You represent that you have all rights and consents necessary to provide the data.

We use bank-level encryption for integrations. You remain responsible for the accuracy and legality of your data.

You may export your data at any time. After termination we delete it (subject to anonymized statistical retention per our Privacy Policy).

5. Valuation & Financial Disclaimers (Critical)

All valuations, multiples, projections, WACC calculations, ROI models, dilution scenarios, hold-vs-sell analyses, and other outputs are illustrative estimates only.
They are not formal appraisals, Quality of Earnings reports, fairness opinions, or binding valuations.
They must not be used for bank financing, tax filings, legal proceedings, securities offerings, buyer due diligence packages, or any regulated financial decision.
We make no representations or warranties regarding accuracy or suitability.
Past case studies (e.g., Pauly's Pizza, Mike's HVAC, Sarah's landscaping) are for illustration only and not guarantees.
You are solely responsible for all decisions made using the Services.

6. Intellectual Property

The Services, platform, algorithms, designs, logos, “You Earned It” tagline, and all related content are owned by XIT Matters LLC and protected by law.

You receive a limited license to use the Services and export your own reports for internal business purposes only.

You may not copy, modify, reverse engineer, or create derivative works.

7. Fees & Future Billing (When Applicable)

During beta the Services are free. When paid plans launch:

Fees are billed in advance.
All fees are non-refundable.
We may change prices with 30 days' notice.
Failure to pay may result in suspension.

8. Prohibited Conduct

You agree not to:

Use the Services for any unlawful purpose.
Provide false or misleading financial data.
Attempt to access others' accounts.
Reverse engineer or scrape the Services.
Use valuations in marketing materials without our prior written consent and appropriate disclaimers.

9. Termination

You may cancel your account at any time. We may suspend or terminate access for breach or any reason in our sole discretion. Sections 4–6, 10–13 survive termination.

10. Limitation of Liability

To the maximum extent permitted by law, XIT Matters shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Our total liability shall not exceed the greater of (i) the amount you paid us in the twelve months preceding the claim (or $0 during beta) or (ii) $100.

11. Indemnification

You agree to indemnify and hold harmless XIT Matters from any claims arising out of your use of the Services, your User Data, or your violation of these Terms.

12. No Warranties

The Services are provided “as is” and “as available” without any warranties of any kind.

13. Governing Law & Dispute Resolution

Governed by the laws of the State of Florida. Any disputes shall be resolved exclusively in the state or federal courts in Leon County, Florida. You waive jury trials and class actions.

14. Miscellaneous

These Terms (plus our Privacy Policy) constitute the entire agreement. If any provision is invalid, the remainder remains in effect.
